Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GoVisualize platform and services provided by GoVisualize, a company registered in Denmark ("GoVisualize", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Acceptance of Terms
By creating an account, accessing the GoVisualize platform, or using any part of our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you ("you", "your", or "User") and GoVisualize ApS.
If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" in these Terms will refer to both you as an individual and that organization.
2. Eligibility and Account Registration
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
You represent and warrant that all information you provide to us during registration and thereafter is accurate, current, and complete. You agree to update your information as necessary to maintain its accuracy.
You may not share your account credentials with any third party, and you may not allow any third party to access the Service using your account. You are solely responsible for all use of the Service under your account, whether or not authorized by you.
3. Changes to the Service
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may add new features, remove existing features, or change how features function. While we will make reasonable efforts to notify users of significant changes, we are not obligated to provide advance notice of all modifications.
You acknowledge that the Service is continuously evolving and that the form and nature of the Service may change from time to time without prior notice to you. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
4. Subscriptions and Billing
4.1 Subscription Plans
Access to certain features of the Service requires a paid subscription. We offer various subscription plans with different features, usage limits, and pricing. The specific terms of your subscription, including the features included and any usage limits, will be described at the time of purchase.
4.2 Payment and Billing
By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis according to the billing frequency of your chosen plan (monthly, annually, or otherwise as specified). All fees are stated in the currency specified at the time of purchase and are non-refundable except as expressly set forth in these Terms.
You are responsible for providing accurate and complete billing information and for updating such information if it changes. If your payment method fails or your account is past due, we may suspend or terminate your access to the Service until payment is received.
4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. You will be charged the then-current subscription fee for the renewal period. We may change subscription fees upon renewal, and we will provide you with notice of any fee changes in advance of the renewal.
4.4 Taxes
All fees are exclusive of applicable taxes, duties, levies, tariffs, and governmental charges (collectively, "Taxes"). You are responsible for paying all Taxes associated with your subscription, except for taxes based on our net income. If we are required to collect or pay Taxes in connection with your subscription, such Taxes will be charged to you.
4.5 Cancellation
You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will be effective at the end of your current billing period, and you will retain access to the Service until that time. No refunds or credits will be provided for partial subscription periods, except as set forth in our refund policy below.
4.6 Credits
Certain subscription plans include or allow the purchase of credits that can be used to access specific features or generate content. Credits may expire at the end of each billing period or may roll over to subsequent periods depending on your subscription plan. Unused credits are non-refundable and have no cash value. Credits cannot be transferred to other users or accounts.
5. Refund Policy
Refunds are not automatically provided but may be granted on a case-by-case basis when there is a reasonable justification for the refund request. Reasonable justifications may include, but are not limited to, technical issues that prevented you from using the Service, billing errors, or other circumstances that we determine, in our sole discretion, warrant a refund.
To request a refund, you must contact our support team within thirty (30) days of the charge you are disputing and provide a clear explanation of the reason for your request. We will review all refund requests and respond within a reasonable timeframe. The decision to grant or deny a refund request is at our sole discretion.
Refund requests made more than thirty (30) days after the relevant charge will generally not be considered. Refunds, if granted, will be processed using the original payment method and may take several business days to appear in your account.
6. User Content and Inputs
6.1 Your Inputs
You may upload, submit, or otherwise provide various types of content to the Service, including but not limited to text prompts, documents, brand assets, logos, color schemes, fonts, messaging frameworks, and other materials (collectively, "Inputs"). You retain all ownership rights in your Inputs.
6.2 Rights and Responsibilities
You represent and warrant that:
You own or have obtained all necessary rights, licenses, consents, and permissions to use and submit your Inputs to the Service;
Your Inputs do not and will not infringe, violate, or misappropriate any third-party intellectual property rights, including but not limited to copyrights, trademarks, patents, trade secrets, or other proprietary rights;
Your Inputs do not and will not violate any applicable laws or regulations;
You have the authority to grant the licenses set forth in these Terms; and
Your Inputs do not contain any viruses, malware, or other harmful code.
You are solely responsible for your Inputs and the consequences of uploading, submitting, or otherwise making them available through the Service. You acknowledge that you, not GoVisualize, are responsible for ensuring that you have all necessary rights to any logos, brand assets, text, documents, or other materials you upload to the Service.
6.3 License to GoVisualize
By submitting Inputs to the Service, you give us permission to use your Inputs to provide the Service to you. This means we can store your Inputs, use them to generate Outputs for you, display them in your account, and use your previous prompts and uploaded materials to improve the quality and relevance of the Outputs we generate for you and to improve our AI models and systems.
We will not share your Inputs with third parties except as necessary to provide the Service (such as with third-party service providers who process data on our behalf) or as required by law.
7. AI-Generated Outputs
7.1 Rights to Outputs
Subject to your compliance with these Terms and payment of applicable fees, we grant you all rights we are able to grant in the outputs generated by the Service in response to your Inputs ("Outputs"), including AI-generated images, text content, marketing materials, and other generated content. This means you can use, modify, and distribute Outputs as you see fit. However, due to the nature of AI-generated content and applicable copyright law, we cannot guarantee that Outputs will be eligible for copyright protection or that you will have exclusive ownership rights to them.
7.2 License to GoVisualize
You give us permission to host, store, and display your Outputs to provide the Service to you, including displaying Outputs within your account and enabling you to download, edit, and use your Outputs through the Service.
7.3 Restrictions on Use of Outputs
You may not use any Outputs generated through the Service for the purpose of training, developing, or improving any artificial intelligence model, machine learning system, or competing AI-based product or service. You may not use Outputs to create a service or product that competes with GoVisualize.
7.4 No Guarantee of Non-Infringement
While we strive to provide high-quality Outputs, AI-generated content is inherently unpredictable. GoVisualize does not guarantee that any Output is original, non-infringing, accurate, appropriate for your intended purpose, or legally safe for all uses. Outputs may inadvertently resemble existing copyrighted works, trademarks, or other protected content.
You are solely responsible for reviewing Outputs before use and for ensuring that your use of Outputs complies with all applicable laws, regulations, and third-party rights. This includes, but is not limited to, compliance with copyright law, trademark law, advertising regulations, privacy laws, and platform-specific content policies.
7.5 Your Use of Outputs
When using Outputs for marketing, advertising, or commercial purposes, you are responsible for:
Ensuring compliance with all applicable advertising standards, consumer protection laws, and industry regulations;
Making any required disclosures, including disclosures that content was AI-generated if required by law or platform policies;
Verifying the accuracy of any factual claims or statements in the Outputs;
Obtaining any necessary permissions or releases if Outputs are used in ways that may implicate third-party rights; and
Complying with the terms of service and content policies of any platforms or channels where you use the Outputs (such as social media platforms, advertising networks, or email service providers).
7.6 Similarity to Other Outputs
Due to the nature of AI generation, it is possible that Outputs generated for you may be similar or identical to Outputs generated for other users. You acknowledge and agree that GoVisualize does not grant you exclusive rights to any Output, and other users may receive similar or identical Outputs.
8. Intellectual Property Rights
8.1 GoVisualize Intellectual Property
The Service, including all software, algorithms, models, interfaces, graphics, design, compilation, information, data, and all other elements of the Service (excluding your Inputs and Outputs) are owned by GoVisualize or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business or personal purposes in accordance with these Terms. This license does not grant you any rights to use GoVisualize trademarks, logos, or branding.
8.2 Restrictions
You may not:
Copy, modify, distribute, sell, or lease any part of the Service;
Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by applicable law;
Remove, alter, or obscure any proprietary notices on the Service;
Use the Service to build a similar or competitive product or service;
Access the Service in order to monitor its availability, performance, or functionality, or for any other benchmarking or competitive purposes;
Use any automated system, including but not limited to robots, spiders, or scrapers, to access the Service except as specifically permitted by these Terms; or
Frame or mirror any part of the Service without our express written permission.
9. Prohibited Uses and Acceptable Use Policy
You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Specifically, you agree not to:
9.1 Illegal or Harmful Activities
Use the Service for any illegal purpose or in violation of any local, national, or international law or regulation;
Generate or distribute content that is defamatory, obscene, pornographic, abusive, harassing, threatening, or hateful;
Generate or distribute content that promotes violence, terrorism, or harm to individuals or groups;
Generate or distribute content that exploits or harms minors in any way;
Use the Service to engage in or promote fraudulent, deceptive, or misleading practices;
Generate spam, phishing content, or other forms of unsolicited communications; or
Use the Service to create or distribute malware, viruses, or other harmful code.
9.2 Intellectual Property Infringement
Upload Inputs that infringe or violate third-party intellectual property rights, including copyrights, trademarks, patents, or trade secrets;
Generate Outputs that you know or should know infringe third-party intellectual property rights;
Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
Use third-party trademarks, logos, or branding without authorization; or
Generate content that violates the publicity or privacy rights of any third party.
9.3 Abuse and System Integrity
Attempt to gain unauthorized access to the Service, other users' accounts, or computer systems or networks connected to the Service;
Interfere with or disrupt the Service or servers or networks connected to the Service;
Use the Service in any manner that could disable, overburden, damage, or impair the Service;
Attempt to circumvent any usage limits, restrictions, or technological measures designed to protect the Service;
Share your account credentials or allow unauthorized third parties to access the Service using your account; or
Use the Service to generate an excessive volume of Outputs for the purpose of reselling access to the Service or competing with GoVisualize.
9.4 Enforcement
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including without limitation, suspending or terminating the offending user's account, removing content, and reporting violations to law enforcement authorities.
10. Disclaimers
101 Service Provided "As Is"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
10.2 AI-Generated Content
GoVisualize does not warrant that Outputs generated by the Service will be accurate, reliable, complete, appropriate for your intended use, or free from errors. AI-generated content is inherently unpredictable and may contain inaccuracies, inconsistencies, biases, or errors. You acknowledge that:
Outputs may be factually incorrect or misleading;
Outputs may not be suitable for all purposes or audiences;
Outputs may require review, editing, and fact-checking before use;
We do not endorse or take responsibility for the content of any Output; and
You use all Outputs at your own risk.
10.3 Service Availability
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not warrant that the Service will meet your specific requirements or expectations. The Service may be subject to limitations, delays, and other issues inherent in the use of the internet and electronic communications.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOVISUALIZE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF GOVISUALIZE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Indemnification
You agree to indemnify, defend, and hold harmless GoVisualize, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:
Your use of the Service or violation of these Terms;
Your Inputs or any content you submit to the Service;
Your use or distribution of Outputs, including any claims that your use of Outputs infringes or violates third-party rights;
Your violation of any law, regulation, or third-party rights; or
Any claim that your Inputs or use of the Service caused damage to a third party.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You will not settle any claim that affects GoVisualize without our prior written consent.
13. Termination and Suspension
13.1 Termination by You
You may terminate your account at any time by contacting our support team or using the account closure feature in your account settings. Upon termination, your access to the Service will cease, and your data may be deleted in accordance with our Privacy Policy and data retention policies.
13.2 Termination or Suspension by GoVisualize
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:
Violation of these Terms or our Acceptable Use Policy;
Non-payment of fees or fraudulent payment activity;
Conduct that we believe is harmful to other users, GoVisualize, or third parties;
Use of the Service in a manner that creates legal risk or potential liability for GoVisualize; or
Any other reason we deem appropriate in our sole discretion.
13.3 Effect of Termination
Upon termination of your account, whether by you or by us:
Your right to access and use the Service will immediately cease;
You will lose access to your account, Inputs, Outputs, and any other data stored in the Service;
You will remain liable for all fees and charges incurred prior to termination;
We may delete your data in accordance with our data retention policies; and
Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to Sections 7, 8, 9, 12, 13, 14, and 16.
We may, but are not obligated to, provide you with an opportunity to export your data before termination. It is your responsibility to maintain backups of any data you wish to retain.
14. Communications and Notices
14.1 Electronic Communications
By using the Service, you consent to receive electronic communications from us, including emails, in-app notifications, and messages posted to your account dashboard. These communications may include notices about your account, updates to the Service, marketing messages, and other information concerning the Service.
You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
14.2 Notices to You
We may provide notices to you by email at the email address associated with your account, by in-app notification, or by posting notices on the Service. Notices sent by email will be deemed delivered when sent to the email address you provided during registration. You are responsible for ensuring that your email address is current and accurate.
14.3 Notices to GoVisualize
Any notices to GoVisualize must be sent by email to the contact address provided on our website or through the support mechanisms available in the Service. Notices to GoVisualize are effective when received by GoVisualize.
14.4 Opting Out of Marketing Communications
You may opt out of receiving marketing communications from us by following the unsubscribe instructions included in such communications or by updating your communication preferences in your account settings. Please note that even if you opt out of marketing communications, you will continue to receive transactional and administrative communications regarding your account and use of the Service.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of these Terms and, if the changes are material, we will provide notice through the Service or by email to the address associated with your account.
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.
We encourage you to review these Terms periodically to stay informed of any changes. It is your responsibility to check these Terms regularly for updates.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and GoVisualize regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter hereof.
16.2 Force Majeure
GoVisualize will not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
